Dieser Eigenschaft ist es wohl zu verdanken, dass sich die Zahl der von deutschen Unternehmern gegründeten und ausschliesslich in Deutschland tätigen Limiteds von 1.600 im Jahre 2003 innerhalb weniger Jahre auf geschätzte 20.000 bis 40.000 erhöht hat. Aufgrund des vermehrten Auftretens dieser Gesellschaftsform in Deutschland stellen sich nunmehr Fragen hinsichtlich der Haftung von Gesellschaftern und directors einer Limited in Deutschland. Dabei besteht in diesem Bereich eine weitgehende Rechtsunsicherheit. Nach welchen Normen des deutschen oder englischen Rechtssystems sich die persönliche Haftung der handelnden Personen im Rahmen einer Limited richtet, ist in vielen Bereichen noch weitgehend ungeklärt. Sie kann innerhalb von wenigen Tagen für ein paar Pfund gegründet werden, ausser einer Briefkastenadresse in England ist nichts weiter erforderlich, der gesamte Geschäftsverkehr kann in Deutschland abgewickelt werden, ja, die "Limited" kann sogar ihren Sitz gänzlich hierher verlegen. Man vergisst in der Euphorie gerne, dass die "Limited" einer uns fremden Rechtsordnung verhaftet ist - und bleibt. So muss sie in jedem Fall u.a. nach englischen Recht und in englischer Sprache bilanzieren - unabhängig von ihrem Geschäftszweck und ihrem Sitz. Wer dafür einen englischen Steuerberater einsetzt, hat den Vorteil der niedrigen Gründungskosten schon sehr schnell verspielt. Wer nicht bilanziert und die Bilanzen beim englischen Register einreicht, verwirkt automatisch hohe Strafen. Das englische Recht ist hier wesentlich stringenter als das deutsche. Das Buch hilft, in den meisten Fällen der einfachen "Limited im Auslandseinsatz" die Schwelle zum englischen Bilanzrecht zu überwinden und leitet dazu an, in standardisierten Fällen die Bilanzen eigenständig zu erstellen. Dazu verwendet der Autor neben einer verständlichen Sprache zahlreiche Muster und Beispiele, die in Kombination mit den leicht verständlichen Erläuterungen in vielen Fällen bares Geld sparen können. Der Autor ist englischer Steuerberater mit langer Berufspraxis.

In a globalized Europe in which everything is merging together, especially the economies, and keeping pace with the rapid development of the Internet, one can ill afford not to take a look at the Limited company. The English Limited seems to be an alternative to the German GmbH. In the course of groundbreaking decisions, made by the European Court of Justice, a new legal platform for economic activity is made available in Germany. So far, it seems to be an attractive one. The fast and uncomplicated establishment of the company, as well as the rather liberal rules of capitalization, are typically perceived as advantages of the Limited compared to the German GmbH. However, the limited – being a foreign type of company – is, first of all, an alien element in the German legal system (Just 2005, Preface). There are many questions to be answered and there is, additionally, a certain amount of legal uncertainty to be reasoned with concerning the decision of whether or not to choose the limited over the German GmbH. Also, the peculiarities, perspectives and risks of the limited are widely unknown to the general public. The purpose of this book is to provide an analysis of how an English private company limited by shares based in Germany may offer an alternative to German forms of business organization for entrepreneurs. The perspectives and risks that come hand in hand with such an establishment will also be interpreted. To begin with, I will shortly explain the history of British companies. This is then followed, firstly, by an overview of the types of companies in England, and, secondly, the two types of businesses known to British company law in which liability may be limited to the paid-in company assets. A discussion of the new rulings of the European Court of Justice (ECJ), followed by the topics of freedom of establishment, incorporation theory and real seat theory are also presented. The next chapter explicitly examines establishment and management of the limited according to English company law. In general, a branch office of the foreign company is established to engage in business in Germany. This process, as well as the taxation and the applicability of German law on this branch office are discussed in the following section. The subsequent chapter focuses on the perspectives and risks, as well as the advantages and disadvantages of a limited operating in Germany, before a final conclusion is drawn.

Seit der jüngeren Rechtsprechung des EuGH zur Niederlassungsfreiheit begegnet man im deutschen Geschäftsverkehr verstärkt der Private Limited Company by shares (auch einfach „englische Limited“ oder nur „Limited“ genannt) als Alternative zur deutschen Gesellschaft mit beschränkter Haftung (kurz GmbH). Insgesamt sollen bislang schon mehr als 30.000 englische Limiteds mit Verwaltungssitz in Deutschland errichtet worden sein und diese Zahl soll stetig steigen. Damit entscheiden sich derzeit ca. 25 % der Unternehmer, die sich für die Gründung einer Kapitalgesellschaft entschieden haben, für die Limited, was insbesondere auf die schnelle, unbürokratische und kostengünstige Gründung und dem wesentlich geringeren Kapitaleinsatz zurückzuführen ist. Darauf muss sich auch das deutsche Geschäftsleben einstellen. Gerade wegen des fehlenden Mindestkapitals stehen allerdings viele Wirtschaftseinheiten wie beispielsweise Banken oder Lieferanten dieser „neuen“ Gesellschaftsform in Deutschland skeptisch gegenüber, da dieses hierzulande bei Kapitalgesellschaften schon jeher die (gläubigerschützende) Gegenleistung für die Haftungsbeschränkung der Gesellschafter darstellt. Ziel dieses Buches ist es daher, zu untersuchen, ob die Gläubiger einer englischen Limited in Deutschland – wie vielfach befürchtet – relativ schutzlos dastehen oder bei dieser Gesellschaftsform auch ohne nennenswertes Mindestkapital ein effektiver Gläubigerschutz gewährleistet ist. Dabei wird – gerade wegen der in Deutschland anhaltenden Konkurrenz und der funktionellen Ähnlichkeit – ein Vergleich mit der in Deutschland seit Jahren weit verbreiteten und vom Geschäftsverkehr allgemein anerkannten GmbH vorgenommen. Dazu werden zunächst die Entwicklung der Rechtsprechung zur Niederlassungsfreiheit und die Grundlagen der Limited und der GmbH dargestellt, bevor dann die wesentlichen Vergleichskriterien vorgestellt, für beide Rechtsformen analysiert und jeweils im Anschluss miteinander verglichen werden. Abgerundet wird dieser Beitrag mit einem Fazit und einem Ausblick. Beate Stirtz, geboren am 25.06.1979 in Rostock, hat im Anschluss an ihr Abitur eine Ausbildung zur Verwaltungsfachangestellten absolviert und war dann in mehreren Unternehmen wirtschaftlich tätig.
